SDM Bank – Assistance in Implementation of Institution Building Programme (EBRD project) (Russian Federation)

Project objective:

To assist SDM-Bank’s management in implementation of the IBP with the purpose to strengthen the Bank’s corporate governance, strategy, operations and internal procedures, including environmental and social, thereby increasing the Bank’s efficiency with the goal to increase its value and attractiveness during the period of EBRD’s Investment.

Project scope:

The assignment focuses on the following areas: corporate governance, business development and planning, annual budgeting, product development and marketing, risk management, human resources development and training.

Corporate governance: establishment of a system of corporate governance based on effective allocation and separation of roles and responsibilities between management, supervision and shareholders:

(i) Establishment of an effective committee to oversee compensation;

(ii) Drafting of the statutes, bylaws, responsibilities and terms of reference of the Compensation Committee;

(iii) Development of the key performance indicators (“KPIs”) for management and introduction of annual performance

reviews;

(iv) Implementation of the Environmental and Social Risk Management Plan.

Business Development and Planning: preparation of a medium-term (3-year) Strategy and Business Plan for 2011-2013 and of detailed annual budgets.

Product Development and Marketing

(i) Strengthening of the sales and marketing functions;

(ii) Creating and implementation of a brand, brand book, corporate identity, promotional materials and marketing

communications programs;

(iii) Training the relevant staff of SDM engaged in product development and marketing;

(iv) Supporting SDM with diversifying of its client base and loan portfolio including measures for decrease of portfolio

concentration.

Risk Management: establishment of an independent Risk Management Division responsible for active management of all types of risk within the bank and reporting to the BoD. Key personnel from the Risk Management Division together with the Corporate Banking Division and the Retail Banking Division will undergo a comprehensive training programme, designed and delivered by TA Consult, for credit analysts in both quantitative and qualitative review of clients’ creditworthiness.

In particular TA Consult:

  • Determines gaps in the existing system of decision-making and risk monitoring
  • Gives suggestions for corrective measures to prevent the risks identified
  • Develops and implement an automated system to monitor fraudulent transactions in retail operations (deposits and bank cards).

Training: suggesting on individual professional development through internships and training and organizing training of key managers:

(i) on-the-job” training of SDM’s counterpart staff working with the Consultant;

(ii) training of core functional staff in the utilization of new or modified processes developed by TA Consult in each module of work; and

(iii) additional training of managers and professionals in high priority areas.
